Terms of Service

Last updated October 16, 2026

These terms apply to cjpsoftwareandmedia.com, the client portal, and every service CJP Software and Media Inc. (“CJP”, “we”, “us”) provides, including websites, web design, SEO, advertising, custom software, hosting and maintenance. By using the site, creating an account, or buying a service, you (“you”, the “client”) agree to them. If you're agreeing for a business, you confirm you can bind it.

1. Our services

What we deliver for you is described in your plan, quote, proposal or order (each an “Order”). Where an Order signed by both of us says something different from these terms, the Order wins for that work. Anything outside the Order is new work, quoted separately.

2. Your account

Give us accurate information, keep your password private, and tell us promptly if you think someone else has used your account. You're responsible for what happens under it.

3. Plans, payment and cancellation

We offer two website plans. Your client portal shows which one you're on.

  • Website plan: $150 per month. It includes the website build, hosting, the website editor and your site's admin panel, quote requests sent to your email, visitor analytics, and Google review automation (texting your customers for a review after a job) where the texting service is available.
  • Website plan special offer: $80 per month, offered at our discretion to businesses we invite directly. It isn't available publicly and can't be requested. It includes everything in the Website plan except Google review automation. We may stop offering it to new clients at any time; if you're on it, you keep its price unless we tell you about a change as described below.
  • Either plan is billed in advance each month through our payment processor, Stripe, and renews automatically until canceled, unless your Order says otherwise.
  • You can cancel from your client portal at any time. The plan stays active until the end of the period you've paid for. Partial months aren't refunded.
  • If a payment fails and isn't fixed within a reasonable time after we or Stripe tell you, we may suspend the service until it is.
  • We'll give you at least 30 days' notice of a price change, which applies from your next billing period after that.
  • Prices don't include taxes, which are added where the law requires.

4. Ownership of our work

Every website, piece of software, design, layout, source code, database structure, configuration, template and other material we create or provide (“CJP Work”) is and stays the intellectual property of CJP Software and Media Inc. That includes work built specifically for you, unless a separate agreement signed by both of us transfers ownership in writing. Paying for a build, a plan or custom software doesn't transfer ownership of it.

While you have an active hosting and maintenance plan or service with us and your account is paid up, we give you a limited, non-exclusive, non-transferable license to use the CJP Work we provide, as hosted and run by us, for your own business. You may not:

  • copy, download, export or reproduce CJP Work, or its source code;
  • modify it, reverse-engineer it, or have anyone else work on it;
  • host it, or any copy of it, anywhere other than with us;
  • sell, sublicense, transfer or share it, or use it to build something similar.

When your hosting and maintenance with us ends, for any reason, your license ends at the same time. You don't keep the website or the software, or any copy of them, and we take them offline. Ending the service doesn't entitle you to the source code, design files, or a copy of the site or software.

5. Your content and data stay yours

You keep ownership of what you give us: your text, photos, logos, trademarks and other materials, and the data about your own customers that your site or software collects (“Your Content”). You give us permission to use Your Content only to provide our services to you, and you confirm you have the right to give it to us.

If you ask within 30 days of your service ending, we'll send you a copy of Your Content in a standard format. That covers your materials and data, not CJP Work. Domain names registered in your name stay yours, and we'll help point them elsewhere when you ask.

6. Hosting, maintenance and service requests

We work to keep what we host secure, up to date and available, but we don't promise uninterrupted service unless your Order includes a specific commitment. Software clients send fixes and change requests through the client portal. Fixes to work we built are covered by your plan; new features and larger changes may be quoted as new work.

7. Acceptable use

Don't use our services or anything we build for something unlawful, infringing, deceptive or harmful, to send spam, or to interfere with our systems or anyone else's. We may suspend a service that's being misused.

8. Text messages

Some websites we host let the business text its customers through our texting service. By sending a quote request on a website that says so, you agree to receive text messages from that business about your request and, once your job is done, a text asking how it went, with a link to leave a review if you'd like to. Expect up to three texts per job; message frequency varies. Message and data rates may apply. Reply STOP at any time to stop receiving texts, or HELP for help; you can also contact us. Mobile carriers aren't liable for delayed or undelivered messages. Our Privacy Policy explains how we handle the information involved.

9. Other providers

Some parts of our services rely on other companies, such as Stripe for payments and Cloudflare and our hosting providers for delivery. Their own terms apply to their services, and we're not responsible for them.

10. Warranties and liability

We provide our services with reasonable skill and care. Beyond that, and as far as the law allows, they're provided “as is”, without other warranties. We aren't liable for indirect or consequential losses such as lost profits, revenue or data. Our total liability for any claim is limited to the amount you paid us in the three months before it arose. Nothing here limits liability that can't legally be limited.

11. Indemnity

You'll cover our reasonable costs from claims that arise from Your Content, from your misuse of our services, or from your breach of these terms.

12. Ending the service

You can stop using our services as section 3 describes. We can end a service with 30 days' notice, or straight away if you seriously breach these terms or don't pay. Sections 4, 5, 10, 11 and 14 continue after the service ends.

13. Changes to these terms

We may update these terms. We'll post the new version here with its date, and tell account holders by email or in the portal about significant changes. Continuing to use our services after a change means you accept it.

14. Governing law

These terms are governed by the laws of the state in the United States where CJP Software and Media Inc. is incorporated, and disputes go to the courts of that state.
